Constitution & By-Laws

ARTICLE I: NAME

This organization shall be known as the South Bay Camera Club.

ARTICLE II: PURPOSE

The object of the South Bay Camera Club (SBCC) shall be the enjoyment, mastery and furtherance of photography through cooperation, effort and good fellowship and any other means to raise the standard of photographic excellence in the South Bay area of Los Angeles County.

ARTICLE III: MEMBERSHIP

Any person interested in photography may apply for membership. Application for membership can be done by clicking on the Membership tab on the club’s website.  Membership of any person can be suspended, when sufficient reasons exist, by action of the club Board of Directors. The suspended member shall have the right to appeal suspension, in which case the action of the Board of Directors shall be upheld or rescinded by a majority vote of the Membership.

ARTICLE IV: OFFICERS

The following officers shall be elected by the membership: (1) President, (2) Vice President, (3) Secretary, and (4) Treasurer.

ARTICLE V: MEETINGS

Regular meetings of the Club shall have place, date, and time stipulated by the Board of Directors.

ARTICLE VI: BOARD OF DIRECTORS

The management of the Club shall be directed by a Board of Directors composed of the elected Officers (Article IV), the Chairs of the standing committees, and the Past President ex-officio. The Board of Directors shall meet as often as necessary to transact the business of the club. Five members of the Board will constitute a quorum.

ARTICLE VII: COMMITTEES

The following standing committees shall be established to conduct club activities: (1) Audio/Visual, (2) Awards, (3) Banquets, (4) Hospitality, (5) Membership, (6) Newsletter, (7) Nominating, (8) Public Relations, (9) Programs, (10) PSA Representative, (11) Refreshments, (12) Scavenger Hunt, (13) Slide Shows, (14) Trips, (15) Website. Chairpersons of standing committees shall be appointed by the President with the approval of the Board of Directors.  Special Committees may be appointed as required and discharged by the President when they have completed their assignments.

ARTICLE VIII: PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Club in all cases to which they are applicable, and in which they are not inconsistent with these bylaws and any special rules of order the Club may adopt.

ARTICLE IX: FINANCE

The annual dues shall be set by the Board of Directors. The fiscal year for the club shall be set by the Board of Directors.

Monthly Income & Expense reports, plus an annual report will be rendered to the members.

For the purposes of club solvency, the club’s bank checking account must never drop below $1,500.  It is the Board’s fiduciary responsibility to enact any and all financial measures necessary to prevent the account from dropping to this stated level.

Should it come to pass that the South Bay Camera Club is no longer able to finance its existence, the Treasurer, after all bills and liens have been secured, shall refund any remaining funds equally amongst the currently active members.

ARTICLE X: DUTIES OF OFFICERS

Duties of the President shall be: To preside at all club meetings and Board of Directors meetings; to appoint chairpersons of all committees; to act as club spokesperson; to generally supervise and keep in touch with all club activities.

Duties of the Vice President shall be: To assume the duties of the President in his/her absence; to coordinate special projects as assigned by the President.

Duties of the Treasurer shall be: To maintain financial records of the club.

Duties of the Secretary shall be: To keep records of the minutes of all meetings; to notify members of special meetings and events; to conduct correspondence of the club; to prepare ballots for the elections.

ARTICLE XI: DUTIES OF COMMITTEES

The activities of club committees shall be determined by the Board of Directors. The activities decided upon shall thereafter be carried out by the committee chairs and the members appointed by the chair to the respective committees.

Standing committee chairs shall periodically prepare reports of activities and progress for presentation to the Board of Directors or to the membership at club meetings.

ARTICLE XII: AMMENDMENT OF BYLAWS

These By Laws may be amended at any regular meeting of the Club by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.

ARTICLE XII: QUORUM

A Quorum of the membership for the purpose of conducting club business shall consist of not less than one third of the total membership.

ARTICLE XIII: ELECTIONS

Election of club officers shall be held annually. The President shall appoint a Nominating Committee composed of three members. The committee will prepare a single slate of officers and obtain the agreement from the nominees to serve if elected. The Chair shall present the slate at the annual meeting. Additional nominations can be made from the floor.

Vacancies in the club officers shall be filled by Presidential appointment, subject to approval by the Board of Directors. Vacancy of the President’s office shall be filled by advancement of the Vice President
